Terms of service

TODO: this is a scaffold written to cover what Stripe asks for. Have counsel review it before the Stripe account goes live — particularly the liability, indemnity, and governing-law sections.
1. Who these terms are between
These terms are an agreement between TODO: registered legal entity name ("we", "us"), operator of Glass Bid at https://glassbid.spenserandreassen.com, and the organization whose members use the service ("you"). By creating an organization, joining one, or subscribing, you accept these terms on that organization's behalf and confirm you are authorized to do so.
2. What the service is
Glass Bid is a subscription web application that connects glazing contractors with glass and glazing-material vendors. Contractors publish requests for quote for a project's glazing scope; subscribed vendors receive those requests and submit priced bids in response.
We provide the venue. We are not a party to any contract you form with another organization through it, we do not verify the accuracy of any request for quote, specification, or bid posted by a user, and we do not act as broker, agent, or surety for either side of a transaction. Contractor accounts are free; vendors pay a subscription as set out on the Pricing page.
3. Accounts and organizations
- You sign in with a Google account. Keep your credentials secure; you are responsible for activity under your sign-in.
- A user belongs to one organization at a time. An organization admin controls who may join and can remove members.
- You must give accurate information about your organization, and keep your billing contact current.
4. Subscription, billing, and renewal
Vendor subscriptions are billed in advance at the price published on the Pricing page, in US dollars (USD), and renew automatically on the same calendar day each month until cancelled. Payments are processed by Stripe; we do not receive or store full card numbers. We will give at least 30 days' notice by email before a price change takes effect.
Cancellation is covered by the cancellation policy and refunds by the refund and dispute policy. Both form part of these terms.
5. Promotions
We are not running any promotional offer, discount, coupon, or referral reward at this time. If we do, we will publish its full terms on the Pricing page and here before it becomes available, stating at minimum: what it discounts and by how much, who is eligible, the start and end dates, how many times it can be used, whether it can be combined with other offers, what you are charged when it ends, and the conditions under which we may withdraw it. Promotional terms apply in addition to these terms; where they conflict, the promotional terms govern for that offer only. Promotions have no cash value and are not transferable.
6. Acceptable use
You agree not to:
- Post false, misleading, or infringing content, including bids you cannot honour or specifications you have no right to distribute.
- Use another organization's confidential drawings, specifications, or pricing outside the request they were shared for.
- Scrape, resell, or redistribute the vendor directory or any request or bid data.
- Attempt to access data belonging to an organization you are not a member of, or interfere with the service's operation or security.
- Use the service for anything unlawful, or in a way that puts us in breach of a law or a payment network rule.
We may suspend or terminate access for a breach of this section.
7. Your content
You keep ownership of the requests, specifications, bids, and other material your organization uploads. You grant us a licence to host, store, transmit, and display it as needed to operate the service — including delivering it to the organizations you send it to. You are responsible for having the rights to share whatever you upload.
How we handle personal data — what we collect, who it is shared with, and what other organizations on the marketplace can see about you — is set out in the privacy policy, which forms part of these terms.
8. Eligibility, legal and export restrictions
The service is offered in the United States only, for business use, to organizations and to individuals who are at least 18 years old and can form a binding contract. It is not directed at consumers or children. We do not currently sell to customers outside the United States; if you are outside it, do not subscribe.
You may not access or use Glass Bid, and we will not accept payment from you, if you are:
- located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive economic sanctions administered by the United States (including the U.S. Treasury's Office of Foreign Assets Control), the United Nations, the United Kingdom, or the European Union; or
- named on, or majority-owned or controlled by anyone named on, a restricted-party list maintained by those authorities — including OFAC's Specially Designated Nationals list and the U.S. Commerce Department's Denied Persons and Entity Lists.
You agree not to use the service to export, re-export, or transfer any software, technical data, or drawings in breach of U.S. export control laws (including the Export Administration Regulations and the International Traffic in Arms Regulations) or the export laws of your own country. Some project documentation exchanged through the marketplace may itself be export-controlled; you are responsible for determining that and for handling it lawfully. We may suspend or terminate access, and refuse or reverse a payment, to comply with sanctions or export law.
Set the Stripe account's supported countries to the United States so the checkout enforces what this section says.
9. Availability
We aim to keep the service available but do not guarantee uninterrupted operation. We may change or discontinue features. Where an outage materially affects a billing period, see the refund policy.
10. Disclaimers and limitation of liability
The service is provided "as is" and "as available", without warranties of any kind to the fullest extent the law allows. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost business, or the outcome of any bid or contract between users. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose. Nothing here excludes liability that cannot lawfully be excluded.
11. Indemnity
You will indemnify us against claims arising from your content, your use of the service, or your breach of these terms.
12. Changes to these terms
We may update these terms. Material changes are announced by email to organization admins at least 30 days before they take effect. Continuing to use the service after that date means you accept the updated terms; if you do not, cancel before then.
13. Governing law
These terms are governed by the laws of TODO: the State of ___, United States, without regard to conflict-of-laws rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under local law.
